It would appear these two airlines are trying to reach an agreement to merge the two companies to form a new low cost carrier. These talks supposedly have been ongoing for several months. Here a link to an article on this story:

Would US Airways remain in the Star Alliance?
I suppose it all depends on who the buyer is in this deal. TW and AA ‘merged’ a few years back, and TWA subsequently disappeared forever. My guess is that HP is doing a lot better financially than US. Therefore, HP seems the most likely to keep the name. Then again, perhaps they could come up with a brand new name integrating both airlines. At any rate, I see HP perhaps wishing to benefit by joining the Star Alliance as a result. With Star hubs at LAX and SFO already, how feasible would it be to augment these with two more hubs in LAS and PHX? By the way, LAS is now the 5th busiest airport in the U.S. in terms of pax behind ATL, ORD, LAX, and DFW. In terms of movements, they’re probably top 3.

Even if they don’t go out of business and the US name remained after a merger they’ll never be the same company. I would hope that if they did merge that a new name would be used rather than keep either America West or US Air(ways).

That would give them quite a sizable fleet of around 468 aircraft
I’m pretty sure if this deal were to go down that we would see US West or America Airways shed a good portion of their fleet. US is too big right now and adding even more aircraft, even if they were out of different cities, would cause more problems. They would need to severely streamline their operation. There are going to be a lot of pilots on the street when this deal goes through.
