No decision about the court agreement Sobelair

Thu 08/01/04 – In Brussels, the court of commerce is deliberating agin in one week about the destiny of Sobelair. Then, the judge will also know who is eventually taking the company over, and what’s going to happen with the personnel.

There is no decision yet about the court agreement for Sobelair.
The court of commerce will be in session again next thursday. Then the personnel and touroperator JetAir will be invited, the latter being the most important candidate for taking the company over.

This morning, the court listened to the pleas of the lawyers of Sobelair and their creditors. That’s what Master of Law Cleerens (the advisor of Sobelair) said. “Sobelair got some explanation, from our side and from the side of the present creditors, which all in a very serene climate wanted to go in the same direction, which is making sure that we can come to a court agreement.

With this court agreement, Sobelair can protect itself for three monds against its creditors so it will have the time to prepare a take-over of it’s activities.

That’s how Sobelair wants to save 3/4th of the personnel (311 people), but the trade union doubts wether this a realistic amount. However, Jetair didn’t show its plans yet.

Vastapane wants to continue with Sobelair
Aldo Vastapane, the boggest shareholder of Sobelair, wants to continue with Sobelair. “Even if we get a new partner”. Vastapane says that he is at the side of the personnel. “I am very often in foreign countries, but if I have a meeting, I always do my best to be with the personnel”.

The wages of the perosnnel is the biggest problem, but these are higher than the average pay to charter airlines in Belgium.

At last there appears to be only one creditor, which is the ex-CEO of IMC, a company that leases aircraft.

Geen beslissing gerechtelijk akkoord Sobelair
do 08/01/04 – In Brussel beraadt de rechtbank van koophandel zich over een week opnieuw over het lot van chartermaatschappij Sobelair. Dan zal de rechter ook het personeel en kandidaat-overnemer Jetair horen.

Er is nog geen beslissing over een gerechtelijk akkoord voor Sobelair. De rechtbank van koophandel houdt pas volgende week donderdag opnieuw zitting. Dan zijn ook het personeel van de chartermaatschappij uitgenodigd en touroperator Jetair, de belangrijkste kandidaat-overnemer.

Vanmorgen luisterde de rechtbank naar de pleidooien van de advocaten van Sobelair en zijn schuldeisers, zegt meester Cleerens, de raadsman van de chartermaatschappij: “Sobelair heeft uitleg gekregen, zowel van onze kant, als van de kant van de aanwezige schuldeisers, die allen in een zeer sereen klimaat in dezelfde richting wensen te gaan, namelijk te zorgen dat we komen tot een concordaat.”

Met een concordaat of een gerechtelijk akkoord wil Sobelair zich drie maanden lang beschermen tegen schuldeisers om intussen een gedeeltelijke overname van zijn activiteiten voor te bereiden.

Daardoor hoopt Sobelair 311 banen te redden, zowat driekwart van de werkgelegenheid, maar de vakbonden betwijfelen of dat cijfer realistisch is. Kandidaat-overnemer Jetair heeft hoe dan ook nog niet in zijn kaarten laten kijken.

Vastapane wil doorgaan met Sobelair
Aldo Vastapane, voornaamste aandeelhouder van Sobelair, wil doorgaan met Sobelair, “zelfs indien er een andere partner komt”. Vastapane zegt ook dat hij nog steeds aan de zijde staat van het personeel. “Ik ben vaak in het buitenland, maar wanneer ik met hen een afspraak heb, wil ik de personeelsleden zeker
ontmoeten.”

Dat zei Vastapane bij het verlaten van de rechtbank van koophandel. Hij gaf toe dat de lonen van het personeel één van de problemen is voor een redding van Sobelair. “Die zijn een stuk hoger dan het gemiddelde bij andere maatschappijen in dezelfde sector vandaag in België”, zei de eigenaar.

Uiteindelijk blijkt er slechts één schuldeiser te zijn, namelijk de ex-directeur-generaal van de firma IMC die vliegtuigen least, zo verklaarde de advocaat van Sobelair.

Look, with this court agreement, all assets of the airline are protected against creditors for three months. In these three months, the best solution will be found, which is hopefully not bankruptcy. Jetair wants to take it over because people will put the fault on the touroperator, because if it goes bankrupt, people will be stranded and not able to go travel. I’m sure we will see a new airline soon.

I don’t think a bankruptcy is any less unlikely then it was yesterday. Therefore I still would not rule out bankruptcy at all!

Vastapana (biggest shareholder) has said he wants to continue the airline, if necesary with another partner. This does not mean anything. He on his own won’t be able to continue as he lacks the money. I don’t think there will be a lot of banks willing to lend money to another airline. A lot of banks and large companies are still unhappy at being forced by the government into supporting SNBA in exchange for tax breaks. Besides aviation has never been the biggest money maker for investors!

That other partner Vastapana is hoping for is probably Jetair/TUI for the short and medium range operations, and Birdy Airlines for the long range operations. Maybe Jetair/TUI will take over everything.

I would not be surprised that Jetair/TUI will wait until bankruptcy has been declared. This has 3 advantages for them:

[*]A bankrupt company can’t make demands. Therefore Jetair/TUI can make more demands.
[*]A bankrupt company gets dissolved. This also means that its debts are dissolved. Obviously this is very tempting for JetAir/TUI as the company becomes much cheaper to buy.
[*]When the company gets dissolved, the contract with its personnel gets dissolved as well. When JetAir/TUI takes over new contracts will be set up, which will most likely be less favourable then the old Sobelair contracts.

Therefore I think that a bankruptcy will happen, but that this will not be the end of Sobelair!
